1. Acceptance of Terms

By accessing or using the KozyHost platform (kozyhost.com), including all associated services, tools, and integrations (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. These Terms constitute a legally binding agreement between you and KozyHost S.L..

2. Description of Service

KozyHost is a multi-tenant SaaS platform designed for the hospitality and retail industries. The Service includes:

  • Back-office management tools (menus, products, bookings, team management)
  • Vendor storefronts and public-facing web pages
  • Review management and social media integrations
  • Post scheduling and publishing across platforms (Google, Facebook, Instagram)
  • AI-powered document processing, translation, and content generation
  • Point-of-sale (POS) and inventory management tools
  • Payment processing integrations (Redsys, Stripe, and other gateways)
  • WhatsApp and messaging integrations
  • Customer relationship management (CRM) tools
  • Music and ambiance management systems

3. Accounts & Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, complete, and current registration information
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account
  • Not share account credentials with unauthorized third parties

We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for an extended period, or pose a security risk to the platform.

4. Vendor Responsibilities

As a vendor on the KozyHost platform, you are solely responsible for:

  • The accuracy of your business information, menus, pricing, allergen declarations, and all published content
  • Compliance with applicable food safety, health, labor, and business regulations in your jurisdiction
  • Managing your own third-party integrations, API credentials, and connected accounts
  • Content published through the platform to social media and other channels
  • Ensuring your staff members use the platform in accordance with these Terms
  • Honoring reservations, managing overbooking situations, and communicating changes to customers
  • Obtaining necessary licenses, permits, and insurance for your business operations
  • Compliance with consumer protection laws applicable to your customers

KozyHost S.L. acts solely as a technology provider and is not responsible for the products, services, or operations of vendors using the platform. Vendors acknowledge that they operate as independent businesses and are solely liable for their customer relationships.

5. Third-Party Integrations

The Service integrates with third-party platforms including Google Business Profile, Facebook, Instagram, WhatsApp, and payment processors. When using these integrations:

  • You must comply with the respective platform's terms and policies
  • You authorize KozyHost to access and manage your connected accounts as described
  • You may disconnect integrations at any time from your account settings
  • We are not responsible for changes, disruptions, or policy modifications by third-party services
  • Third-party credentials (OAuth tokens, API keys) are stored encrypted using AES-256-GCM and are accessible only to your vendor account

6. Content & Intellectual Property

You retain ownership of all content you create, upload, or publish through the Service (including menus, photos, posts, and business information). By using the Service, you grant KozyHost S.L. a non-exclusive, worldwide license to host, display, and distribute your content as necessary to operate the Service and fulfill your instructions (e.g., publishing a post to Facebook on your behalf).

You must not upload content that infringes on the intellectual property rights of others, or that is illegal, harmful, or violates any applicable laws. KozyHost S.L. reserves the right to remove content that violates these Terms without prior notice.

The KozyHost platform, including its design, code, logos, and documentation, is the intellectual property of KozyHost S.L. and is protected by applicable copyright and trademark laws.

7. Subscription & Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described in your subscription plan
  • Provide valid billing information and keep it current
  • Accept automatic renewal unless you cancel before the renewal date
  • Acknowledge that fees are non-refundable except as required by applicable law

We reserve the right to modify pricing with 30 days' written notice. Module pricing, billing cycles, and pro-rated charges are governed by your individual subscription agreement.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to other accounts, systems, or data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means to scrape, extract, or harvest data from the Service
  • Publish spam, misleading content, or engage in fraudulent activity
  • Upload malicious code, viruses, or any harmful software
  • Impersonate other users or misrepresent your identity

9. Data Protection

We process personal data in accordance with our Privacy Policy, the General Data Protection Regulation (GDPR), the Spanish Ley Orgánica 3/2018 de Protección de Datos Personales y garantía de los derechos digitales (LOPDGDD), and the Ley 34/2002 de Servicios de la Sociedad de la Información (LSSI-CE).

KozyHost S.L. acts as a data processor on behalf of vendors, who act as data controllers for their customer data. We implement appropriate technical and organizational measures to protect personal data, including encryption at rest and in transit, role-based access controls, and regular security assessments.

10. Hosting & Service Availability

KozyHost S.L. provides the Service on a best-effort basis. We strive to maintain high availability but do not guarantee uninterrupted, error-free, or continuous access to the Service. The Service is provided without any service level agreement (SLA) unless separately negotiated in writing.

We may perform scheduled maintenance, updates, security patches, or infrastructure modifications that may temporarily affect availability. Where practicable, we will provide advance notice of planned maintenance. We are not liable for downtime caused by factors beyond our reasonable control, including but not limited to internet outages, hardware failures, natural disasters, acts of government, cyberattacks, or third-party service disruptions.

11. Service Disruptions & Software Defects

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Software may contain bugs, errors, or defects. While we make reasonable commercial efforts to identify and resolve reported issues, we do not warrant that the Service will be free from defects or that all reported bugs will be resolved within any specific timeframe. Users are encouraged to report bugs through the platform's support channels.

12. Data Security & Breach Notification

We implement industry-standard security measures to protect data stored on our platform, including AES-256-GCM encryption for sensitive credentials, Argon2id password hashing, TLS 1.2/1.3 for data in transit, and per-vendor data isolation.

In the event of a data breach affecting personal data, KozyHost S.L. will:

  • Notify affected vendors without undue delay and within 72 hours of becoming aware of the breach, as required by GDPR Article 33
  • Provide details of the nature, scope, and likely consequences of the breach
  • Cooperate with vendors in their obligation to notify their own customers and supervisory authorities
  • Take immediate steps to contain the breach and mitigate its effects

KozyHost S.L. shall not be liable for data breaches resulting from vendor negligence, including but not limited to compromised vendor credentials, insecure third-party integrations configured by the vendor, or unauthorized access granted by vendor personnel.

13. Payment Processing

KozyHost integrates with third-party payment processors (including Redsys, Stripe, and others) to facilitate transactions. KozyHost S.L. is not a payment processor and does not directly handle, store, or process credit card numbers or payment credentials.

  • Vendors are responsible for ensuring PCI-DSS compliance in their payment operations
  • Chargebacks, refunds, and payment disputes are the responsibility of the vendor
  • KozyHost S.L. is not liable for payment processing failures, declined transactions, or errors by third-party gateways
  • Transaction fees charged by payment processors are the vendor's responsibility

14. AI-Generated Content

The Service includes AI-powered features for content generation, document processing, translation, and analysis. Regarding AI-generated content:

  • AI-generated content is provided for informational and assistance purposes only
  • KozyHost S.L. makes no warranties regarding the accuracy, completeness, or legal sufficiency of AI-generated content
  • AI-generated legal documents (terms of use, privacy policies) MUST be reviewed by the user or a qualified legal advisor before publication
  • Users are solely responsible for reviewing, editing, and approving all AI-generated content before publication
  • By publishing AI-generated content, the user accepts full responsibility for its contents
  • KozyHost S.L. assumes no liability for errors, omissions, or legal consequences arising from AI-generated content
  • AI features do not constitute legal, financial, medical, or professional advice

15. Limitation of Liability

To the maximum extent permitted by applicable law, KozyHost S.L. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Business interruption or downtime losses
  • Damages arising from unauthorized access to or alteration of your data
  • Damages resulting from vendor content, products, or services
  • Any matter beyond our reasonable control

Our total aggregate liability for any and all claims arising from these Terms or the Service shall not exceed the total amount you paid to KozyHost S.L. in the twelve (12) months immediately preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless KozyHost S.L., its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of the Service or violation of these Terms
  • Content you create, publish, or distribute through the Service
  • Your products, services, or business operations
  • Claims by your customers, employees, or third parties
  • Your violation of any applicable law or regulation
  • Your negligence or willful misconduct

17. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the Service, the parties agree to the following resolution process:

Step 1 — Informal Resolution: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from the date of written notice of the dispute.

Step 2 — Formal Proceedings: If the dispute cannot be resolved informally, it shall be submitted to the courts of San Roque, Cádiz, Spain.

Consumer Exception: If you are a consumer (as defined under EU Directive 2011/83/EU), you retain the right to bring proceedings in the courts of your place of residence, and nothing in this clause restricts your statutory consumer rights.

18. Termination

Either party may terminate this agreement at any time. You may cancel your account from the platform settings or by contacting our support team.

We may suspend or terminate your access immediately if you violate these Terms, fail to pay applicable fees, or if continued access poses a security risk to the platform or other users.

Upon termination, your right to use the Service ceases immediately. You will have thirty (30) days from the date of termination to export your data. After this period, we will delete your personal data in accordance with our Privacy Policy and data retention schedule. Anonymized transaction and billing records may be retained for legal compliance purposes.

19. Modifications & Right to Change

KozyHost S.L. reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at its discretion, with or without notice. We will make reasonable efforts to notify users of material changes.

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

20. Force Majeure

KozyHost S.L. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of war or terrorism, government actions, power outages, internet disruptions, cyberattacks, or failures of third-party services.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

22. Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and KozyHost S.L. regarding the use of the Service. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.

23. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Spain and applicable European Union regulations, including but not limited to the GDPR, the LOPDGDD, and the LSSI-CE. For matters not covered by EU regulations, Spanish civil and commercial law shall apply.
